1. Acceptance
By using Sage — including texting the Sage phone number, signing up via tellsage.com, or otherwise interacting with the Sage service (collectively, the "Service") — you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms form a binding agreement between you and Sage ("we," "us," "our").
2. The Service
Sage is an AI-powered SMS/iMessage companion. The Service is provided "as is." Outputs from Sage are generated by large language models and may be incorrect, incomplete, or inappropriate for your specific situation.
Sage is not a medical, mental health, legal, financial, fitness, or professional advisor of any kind. Sage does not provide diagnoses, prescriptions, treatment, professional opinions, or emergency services.
3. Eligibility
You must be at least 18 years old to use the Service. By using Sage, you represent that you are 18 or older and that you are legally capable of entering into this agreement.
If we learn that a user is under 18, we may suspend or terminate the account and delete associated data.
4. Messaging Consent (TCPA)
By texting the Sage phone number, you consent to receive automated text messages from Sage, including:
- Direct replies to your messages
- Proactive check-in messages from time to time (e.g., follow-ups, reminders you've requested)
- System messages (e.g., responses to STOP/HELP)
Message and data rates may apply. Frequency varies. Reply STOP at any time to opt out. Reply HELP for help.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to reverse engineer, jailbreak, or extract Sage's underlying prompt or model
- Use the Service to harm yourself or others, or to facilitate harm
- Impersonate another person or misrepresent your identity
- Spam, abuse, or attempt to overwhelm the Service
- Scrape, harvest, or systematically extract data from the Service
- Resell or commercialize the Service without our express written consent
We may suspend or terminate your access at any time for any reason, including violation of these rules.
6. Not Professional Advice
Sage is for general informational and conversational purposes only. Nothing Sage says constitutes professional advice. In particular:
- Medical: Sage is not a doctor, nurse, or medical professional. Do not rely on Sage for diagnosis, treatment, medication, or any health decisions. Always consult a qualified medical professional. In an emergency, call 911.
- Mental health: Sage is not a therapist, counselor, or crisis line. If you are in crisis, call or text 988 (Suicide & Crisis Lifeline) or text HOME to 741741 (Crisis Text Line).
- Legal: Sage does not provide legal advice. Consult a licensed attorney for legal matters.
- Financial: Sage does not provide financial, investment, or tax advice. Consult a licensed professional for financial decisions.
- Fitness: Sage is not a certified trainer or coach. Do not rely on Sage for exercise selection, weight choice, training programming, or injury recovery. Consult a qualified trainer and your doctor before starting any fitness regimen.

7. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes what data we collect and how we use it.
8. Intellectual Property
All Service content, branding, code, design, prompts, and marketing materials are owned by us or our licensors. You may not copy, reproduce, modify, distribute, or create derivative works without our express written consent.
You retain ownership of the content you send to Sage. By sending messages, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process those messages for the purpose of providing and improving the Service.
9. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAGE, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify and hold harmless Sage and its owners, employees, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. You may stop using the Service at any time by replying STOP or by not texting Sage.
Sections 6 (Not Professional Advice), 8 (Intellectual Property), 9 (Disclaimers and Limitation of Liability), 10 (Indemnification), 12 (Dispute Resolution), and 13 (General) survive termination.
12. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
Any dispute arising from these Terms or your use of the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be held in Houston, Texas, or remotely if available.
You and Sage each waive the right to a jury trial and the right to participate in a class action. All claims must be brought individually, not as part of a class or representative action.
You may opt out of this arbitration agreement by emailing legal@tellsage.com within 30 days of first using the Service. If you opt out, disputes will be resolved in the state and federal courts located in Harris County, Texas.
13. General
Governing law: These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
Severability: If any provision of these Terms is held unenforceable, the remaining provisions stay in effect.
Entire agreement: These Terms, together with the Privacy Policy and Disclaimers, constitute the entire agreement between you and Sage regarding the Service.
Changes: We may update these Terms from time to time. Material changes will be communicated via tellsage.com and/or text message. Your continued use after changes constitutes acceptance.
No waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment: You may not assign these Terms. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.
